1. Acceptance of Terms

By creating an account, accessing, or using VRC-GM, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use our Service.

If you are using the Service on behalf of a group, organization, or entity, you represent and warrant that you have the authority to bind that entity to these Terms, and you agree to these Terms on their behalf.

2. Service Description

VRC-GM provides analytics, metrics, & monitoring for VRChat groups, including but not limited to:

• Group member analytics and tracking
• Activity monitoring and reporting
• Data visualization and insights

VRC-GM does not moderate, control, or influence user behavior within VRChat, nor does it make moderation decisions. The Service strictly provides analytics and reporting features based on available VRChat data.

3. Account Registration and Subscription

3.1 Account Creation

• You must provide accurate and complete information during registration
• You are responsible for maintaining the confidentiality of your account credentials
• You must be at least 18 years old to use our Service
• One account per person; multiple accounts by the same individual are prohibited

Our Service is not intended for use by individuals under the age of 18. We do not knowingly collect personal data from minors. If we become aware that a minor has provided us with personal information, we will take steps to delete such information.

3.2 Subscription Requirements

• VRC-GM operates on a subscription-based model
• Active subscription is required to access Service features
• Subscription fees are billed in advance on a recurring basis
• You are responsible for maintaining current payment information

3.3 Account Termination

• You may cancel your subscription at any time through your account settings
• We reserve the right to terminate accounts for violations of these Terms
• Upon termination, access to the Service will cease immediately
• Account termination does not entitle you to refunds for unused subscription periods

3.4 Sub-user Management

• Group owners may add sub-users to grant access to their group's data and analytics.
• Only the group owner has the authority to remove sub-users from their group subscription.
• Sub-users cannot remove themselves from group access. If a sub-user wishes to be removed or has concerns about their access, they must contact our support team at [email protected].
• Group owners may transfer ownership of their subscription to an existing sub-user. Upon transfer, the new owner assumes all rights and responsibilities of group ownership, including the ability to manage sub-user access.
• Ownership transfers must be requested through our support team and are subject to verification of both parties' consent.
• The original owner's access may be retained or removed at the discretion of the new owner following the transfer.

4. Payment and Billing

4.1 Subscription Fees

• All fees are stated in US Dollars (USD) unless otherwise specified
• Subscription fees are charged automatically on your billing cycle date
• Price changes will be communicated via Discord announcement with 30 days notice
• Continued use of the Service after price changes constitutes acceptance of new pricing
• All fees exclude applicable taxes unless otherwise stated. You are responsible for paying any such taxes related to your subscription or use of the Service.

4.2 Payment Processing

• Payments are processed through Stripe, a third-party payment processor
• You authorize us to charge your provided payment method for all applicable fees
• Failed payments may result in service suspension after a grace period
• You are responsible for any bank fees, currency conversion fees, or payment processing fees

4.3 Refund Policy

All sales are final. No refunds will be provided for any reason, including but not limited to:

• Service dissatisfaction
• Unused subscription periods
• Account termination or suspension
• Technical issues or service interruptions
• Changes to Service features or functionality

4.4 Trial Periods

Free trials may be offered at our discretion. At the end of the trial period, your subscription will automatically convert to a paid plan unless canceled before the trial ends. Only one trial per user is permitted.

5. Acceptable Use Policy

5.1 Prohibited Uses

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights of others
• Transmit malicious code, viruses, or harmful software
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use the Service for any commercial purpose without explicit written permission
• Share, sell, or redistribute access to your account or Service features
• Reverse engineer, decompile, or attempt to extract source code from our Service

5.2 VRChat Terms Compliance

• You must comply with VRChat's Terms of Service and Community Guidelines
• You are responsible for ensuring your VRChat account remains in good standing
• We are not responsible for VRChat account suspensions or bans
• Violations of VRChat's terms that affect our Service may result in account termination

5.3 Enforcement

• We reserve the right to investigate suspected violations of these Terms
• Account suspension or termination may occur without prior notice for serious violations
• We may cooperate with law enforcement agencies regarding illegal activities

6. Data Privacy and Security

6.1 Data Collection

• We collect and process VRChat group data as necessary to provide our Service
• Personal information collection is governed by our Privacy Policy
• By using our Service, you consent to our data collection and processing practices
• We implement reasonable security measures to protect your data

6.2 Data Usage

• Your group data is used solely to provide analytics, metrics, & monitoring features to you.
• We do not sell, rent, or share your personal data with third parties for marketing purposes
• Aggregated, anonymized data may be used for service improvement and analytics
• We may access your data for technical support, service maintenance, and security purposes

6.3 Data Security

• We employ industry-standard security measures to protect your information
• However, no system is completely secure, and we cannot guarantee absolute security
• You are responsible for maintaining the security of your account credentials
• Report any suspected security breaches to our support team immediately

6.4 Data Retention and Deletion

• Group data is retained for 7 days after subscription cancellation or termination.
• You may request a data export in CSV format only after your subscription has been cancelled or terminated by contacting support prior to the end of the 7-day retention period.
• Data export requests are limited to one request per terminated subscription and must be submitted before the retention period expires.
• After the retention period, your group data will be permanently and irreversibly deleted from our systems.

7. Intellectual Property Rights

7.1 Our Intellectual Property

• VRC-GM, including its software, design, features, and content, is owned by Acid Development
• All trademarks, service marks, and logos used in connection with our Service are our property
• You are granted a limited, non-exclusive, non-transferable license to use our Service
• This license terminates immediately upon account termination or violation of these Terms

7.2 User Data Rights

• You retain ownership of your VRChat group data
• By using our Service, you grant us a license to process and analyze your data as necessary to provide Service features
• This license includes the right to store, display, and analyze your data within our Service
• You represent that you have the necessary rights to grant us this license

7.3 Feedback and Suggestions

• Any feedback, suggestions, or ideas you provide regarding our Service become our property
• We may use such feedback without compensation or attribution
• You waive any claims to compensation or recognition for feedback provided

8. Third-Party Services and Integration

8.1 VRChat API

• Our Service relies on VRChat's API to function
• We are not affiliated with or endorsed by VRChat Inc.
• VRChat API changes may affect Service functionality
• We are not responsible for VRChat API limitations or downtime

8.2 Payment Processing

• Payment processing is handled by Stripe
• Stripe's terms of service and privacy policy apply to payment transactions

Any disputes arising from these Terms or your use of our Service shall be resolved in the courts of Nevada, United States. You consent to the personal jurisdiction of such courts.

12.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

13. Termination

13.1 Termination by You

• You may terminate your account at any time by canceling your subscription
• Termination does not entitle you to refunds for unused subscription periods
• You remain liable for all charges incurred prior to termination

13.2 Termination by Us

We may terminate your account immediately if:

• You violate these Terms or our Acceptable Use Policy
• Your payment method fails and remains uncorrected after notice
• We reasonably believe termination is necessary to protect our Service or other users
• We decide to discontinue our Service

13.3 Effect of Termination

• Upon termination, your access to the Service will cease immediately
• Your data will be handled according to our data retention policy
• Provisions of these Terms that should survive termination will remain in effect

14. Changes to Terms

14.1 Modification Rights

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website or notification through our Service.

14.2 Notification

• Continued use of our Service after changes constitutes acceptance of modified Terms

15. Force Majeure

Acid Development shall not be liable for any failure or delay in performance of the Service due to events beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government actions, labor disputes, internet outages, cyberattacks, equipment failures, third-party service interruptions, or any other unforeseeable circumstances. In such events, our obligations under these Terms will be suspended for the duration of the force majeure event, and we will make reasonable efforts to resume normal service as soon as practicable.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be deemed severed from these Terms, and the remaining provisions shall continue in full force and effect. In the event of such severance, the parties agree to replace the invalid provision with a valid provision that most closely approximates the intent and economic effect of the original provision.

17. API Dependencies

The Service relies on third-party APIs, primarily the VRChat API, to provide its core functionality. We acknowledge that these APIs are outside our control and subject to changes, modifications, or discontinuation by their respective providers.

• API Changes: In the event that VRChat or other third-party API providers make changes that affect the Service's functionality, we will make reasonable efforts to adapt and restore full functionality as quickly as possible. However, we cannot guarantee immediate restoration of all features.
• Service Interruptions: API-related service interruptions, limitations, or feature losses do not entitle subscribers to refunds or compensation, as these circumstances are beyond our reasonable control.
• Terms of Service Compliance: We operate in compliance with VRChat's Terms of Service and API usage policies. Should VRChat modify their terms in a way that prohibits or restricts third-party tools like VRC-GM, we will make reasonable efforts to achieve compliance while maintaining service functionality where possible.
• Notification: We will notify subscribers via Discord and email of any significant API-related changes that may impact service functionality.

18. Beta Features and Updates

• Automatic Acceptance: By maintaining an active subscription, you automatically accept all new features, updates, and changes to the Service. We are under no obligation to notify subscribers of feature updates or service modifications.
• Beta/Experimental Features: We may occasionally provide access to beta or experimental features to select subscribers. These features are provided "as is" without warranties and may be unstable, incomplete, or subject to removal without notice.
• Beta Feature Risks: Beta features may contain bugs, cause service interruptions, or result in data inconsistencies. By accessing beta features, you acknowledge and accept these risks. We are not liable for any issues arising from the use of beta or experimental features.
• No Guarantee of Continuation: Beta features may be discontinued, modified, or integrated into the main service at our sole discretion. Access to beta features does not guarantee permanent availability or inclusion in future service versions.

19. Communication Preferences

• Primary Communication Methods: We will communicate with subscribers primarily through Discord and email using the contact information associated with your account.
• Major Updates and Changes: Announcements regarding major service updates, feature changes, and other significant modifications will be posted in our Discord server. Subscribers are encouraged to join and monitor our Discord community for the latest information.
• Critical Notifications: Important account-specific notifications, including billing issues, Terms of Service updates, and account termination notices, will be sent via both Discord message and email to ensure delivery.
• User Responsibility: It is your responsibility to maintain current and accurate contact information and to monitor our Discord server for service announcements. We are not responsible for failed communications due to outdated contact information or failure to monitor announced communication channels.

20. Content Standards

• Service Neutrality: VRC-GM operates as a neutral analytics and monitoring platform. We provide data analysis and moderation tools for VRChat groups regardless of group type, purpose, or content, provided that use of our Service complies with these Terms.
• Data Processing: We process and display data as received from the VRChat API without editorial oversight or content filtering. The Service reflects the data and activity within your VRChat group as reported by VRChat's systems.
• User Responsibility: You are solely responsible for how you use the analytics and data provided by the Service. We do not endorse, monitor, or take responsibility for the activities, content, or behavior within any VRChat groups using our Service.
• Compliance with Platform Rules: While we remain neutral regarding group content, you remain responsible for ensuring your VRChat group and use of our Service complies with VRChat's Terms of Service and Community Guidelines.

21. Service Modifications

• Service Continuity: We reserve the right to modify, update, or discontinue features of the Service at our discretion. However, we commit to maintaining core Service availability through each subscriber's current billing cycle.
• Service Discontinuation: In the event we decide to permanently discontinue the Service, we will continue operating until the last active subscriber's billing cycle expires. New subscriptions may be suspended during this period.
• Feature Modifications: Individual features may be added, modified, or removed without notice as outlined in Section 18. Core analytics and monitoring functionality will be maintained throughout active billing periods.
• Emergency Suspension: We reserve the right to immediately suspend or limit Service access in emergency situations involving security breaches, legal compliance requirements, or technical issues that threaten system integrity. In such cases, we will restore Service as quickly as possible and may extend billing cycles to compensate for lost service time at our discretion.
• No Refund Obligation: Service modifications or feature changes do not entitle subscribers to refunds, as outlined in our refund policy.

22. Legal Compliance

• Jurisdictional Requirements: We will comply with legal requests for user data or service information only from legal authorities that have proper jurisdiction within our operating country and state.
• Subpoena Requirement: All legal requests must be accompanied by a valid subpoena issued by a court of competent jurisdiction. We do not respond to informal requests, administrative demands, or legal processes from jurisdictions outside our operational territory.
• User Notification: When legally permitted, we will make reasonable efforts to notify affected users of legal requests for their data, unless prohibited by law or court order.
• Data Scope: Any data disclosure will be limited to the specific information requested in the subpoena and legally required to be provided. We will not voluntarily provide additional information beyond what is legally compelled.
• Legal Challenge: We reserve the right to challenge any legal request that we believe exceeds proper jurisdiction, lacks sufficient legal basis, or violates user privacy rights under applicable law.

23. Arbitration

Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction.

• Active Subscriptions: All group-related data is retained while your subscription is active.
• Post-Cancellation: After subscription cancellation or termination, your data is retained for 7 days.
• Data Export: You may request a data export in CSV format only after your subscription has been cancelled or terminated by contacting support prior to the end of the 7-day retention period.
• Export Limitations: Data export requests are limited to one request per terminated subscription and must be submitted before the retention period expires.
• Permanent Deletion: After the 7-day retention period, your group data will be permanently and irreversibly deleted from our systems.

6. Your Rights

You have the right to:

• Access the data we hold about you
• Correct inaccurate information
• Request deletion of your data (subject to our retention policy)
• Object to or restrict certain types of data processing
